Liability Waiver

Effective Date: 8/1/2025

This Liability Waiver (“Waiver”) is entered into by and between Welli Labs (“Company,” “we,” “our,” “us”) and the purchaser (“Buyer,” “you,” “your”) of research-use-only products. By purchasing, accepting delivery, or using products from Welli Labs, you acknowledge and agree to the following terms:

Research Use Only

All products provided by Welli Labs are intended strictly for laboratory research purposes only. Products are not for human consumption, veterinary use, clinical use, diagnostic use, or therapeutic application.

Buyer Representations

By purchasing from Welli Labs, Buyer represents and warrants that:

  • Buyer is a qualified professional, institution, or entity with the necessary expertise, facilities, and training to safely handle chemical reagents.
  • Buyer will use the products solely for lawful laboratory research in compliance with all applicable local, state, federal, and international laws.
  • Buyer understands that misuse of the products could result in injury, property damage, or legal consequences, and assumes full responsibility for such risks.

Assumption of Risk

Buyer acknowledges that handling chemical reagents and research compounds carries inherent risks, including but not limited to: chemical hazards, toxicity, contamination, and improper storage risks. Buyer voluntarily assumes all such risks associated with possession, storage, handling, and use of Welli Labs products.

Release of Liability

To the fullest extent permitted by law, Buyer hereby releases, waives, and discharges Welli Labs, its owners, employees, contractors, and affiliates from any and all liability, claims, demands, or causes of action arising out of or related to:

  • Injury, illness, or harm to any person;
  • Damage to property;
  • Financial losses or regulatory actions;
  • Improper, unauthorized, or illegal use of products.

Indemnification

Buyer agrees to indemnify, defend, and hold harmless Welli Labs and its affiliates from any claims, liabilities, damages, costs, or expenses (including attorney’s fees) resulting from:

  • Buyer’s misuse of products;
  • Buyer’s violation of this Waiver or any applicable law;

Claims brought by third parties relating to Buyer’s use of Welli Labs products.

No Warranties

Products are provided “AS IS” without any warranty, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Welli Labs does not guarantee the suitability, accuracy, or results of its products for any specific research application.

Governing Law

This Waiver shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles, California.

Acknowledgment

By purchasing or accepting delivery of Welli Labs products, Buyer acknowledges that they have read, understood, and agreed to this Liability Waiver in full, and voluntarily waive any right to bring claims against Welli Labs related to the products.
